By using ConferencePlus' Site, you agree to be bound by the Terms of Use. This is a legally binding agreement. If you do not agree with the Terms of Use, you should not use the Site or the Services.
The Site and Services are controlled and operated by ConferencePlus from its offices in Illinois in the United States, and ConferencePlus makes no representations that information and offerings or the Services provided through the Site are appropriate or available for use outside the United States.
COMPANY INFORMATION
The Site includes information about ConferencePlus, its products and its services and allows you to purchase ConferencePlus' products and/or services through an online account. ConferencePlus offers technical support for ConferencePlus' products and services through the Site. You may also search for job openings at ConferencePlus and submit your resume through the Site. Collectively, the provision of the information, the ability to purchase products and services and the search features on or through the Site are referred to in these Terms of Use as the "Services." ConferencePlus may alter, augment or terminate the Site or Services in whole or in part at any time and from time to time in its sole discretion. ConferencePlus reserves the right to modify, deny or suspend your access to the Site or Services at any time without notice to you. To use the Site and Services, you will need access to the World Wide Web, and you must pay any fees associated with your use of such access and the Services you obtain. You will also need equipment and a modem or another access device. ConferencePlus currently uses SSL technology on someSite pages to help protect information that passes over the Internet. You must have certain browser capabilities to take advantage of this encryption technology.
REGISTRATION REQUIREMENTS
To purchase products or services or to access technical support, you must register with the Site. ConferencePlus requires you to provide your name, company, title, address, phone number, email address and time zone. Upon submitting this information, you will receive as "account." You must also establish a password. You agree that you will be responsible for maintaining your password as confidential and for any activity that occurs as a result of your enabling or permitting another person or entity to use your password. You agree to immediately notify ConferencePlus by one of the methods listed below in the event that (i) your password is lost or stolen, or (ii) you become aware of any unauthorized use of your password or of any other breach of security that might affect the Services. ConferencePlus is not responsible for any loss or damage arising from your failure to comply with the provisions of this section.

CONFERENCEPLUS OFFERS NO WARRANTIES WITH RESPECT TO THE PRODUCTS OR SERVICES OFFERED OR OBTAINED THROUGH YOUR USE OF THE SITE. (AND ITS PARENT, AFFILIATES, AND SUBSIDIARIES) SHALL NOT BE LIABLE FOR PUNITIVE, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS OR DAMAGE TO DATA ARISING OUT OF THE USE OR INABILITY TO USE SERVICES, EVEN IF CONFERENCE PLUS, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CONFERENCE PLUS, INC.'S AGGREGATE LIABILITY RELATING OR ARISING OUT OF THIS TRANSACTION, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN QUESTION DURING THE ONE YEAR PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
EXCLUSIONS AND LIMITATION OF LIABILITY SECURITY MEASURES
YOU EXPRESSLY UNDERSTAND AND AGREE THAT CONFERENCEPLUS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA LOSS, OR OTHER LOSSES (EVEN IF CONFERENCEPLUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM: (i) THE USE OR INABILITY TO USE THE SITE OR SERVICES, (ii) THE COST OF PROCUREMENT OF ANY SUBSTITUTE PRODUCTS AND/OR SERVICES RESULTING FROM ANY PRODUCTS, DATA, INFORMATION OR SERVICES OBTAINED OR WHICH YOU WERE UNABLE TO OBTAIN OR TRANSACTIONS EFFECTED OR FAILED TO BE EFFECTED, (iii) ANY LINK PROVIDED IN CONNECTION WITH THE SERVICES, (iv) YOUR RELIANCE ON ANY OF THE SERVICES; (v) THE INTERRUPTION, SUSPENSION, TERMINATION OF ANY SERVICES HEREUNDER, OR (vi) ANY MATTER OTHERWISE RELATED TO YOUR USE OF THE SITE OR SERVICES. IN NO EVENT SHALL CONFERENCEPLUS'S LIABILITY TO YOU RELATING TO YOUR USE OF THE SITE AND/OR SERVICES EXCEED $100.
Payment/Billing
We will send you a invoice for your use of the services. You agree to pay the invoice by the due date. If you do not pay the entire invoice by the due date we may apply a late payment charge at the lesser of one and one half percent (1.5%) per month or the highest rate permissible under the applicable law. At any time, we may require a deposit or other form of advance payment prior to providing or continuing to provide Service based on our evaluation of your credit, or we may terminate Services immediately if you fail to make payments by the due date. Unless we otherwise agree in writing, we may adjust our fees at any time. International rates can change without notice. Any features or upgrades to our services will be provided to you on terms and prices generally available to the public or as otherwise agreed by us in writing. All fees, billing and payment will be in United States dollars only. All payments hereunder are exclusive of all taxes. You agree to pay any taxes, whether federal, state or local, or municipal that may be imposed upon or with respect to the Services performed hereunder, exclusive of taxes on Conference Plus' net income. By providing Conference Plus with your credit card information, you are authorizing Conference Plus to bill your credit card at the beginning of each month for services to be provided during the month. If service is activated or new accounts are added mid-month, you will be billed a prorated amount for the partial month. Conference Plus will automatically bill your credit card or issue an invoice each month until you provide Conference Plus written notice of cancellation. Notice of cancellation must be provided thirty (30) business days prior to the date of cancellation. No credits or proration will be given during the month of cancellation. A monthly surcharge may apply to all accounts not paid by automatic credit card billing. |
